Terms of Service

1. Acceptance of Terms
By accessing the ResiPlan platform (hereinafter “the Service”), operated by CryptoGuard SRL (hereinafter “the Company”), you agree to be bound by these Terms of Service (hereinafter “the Terms”). If you do not accept these Terms, you must not use the Service.
Use of the Service constitutes full acceptance of these Terms. These Terms apply to all users, including visitors, registered users, and organization administrators.
2. Description of Service
ResiPlan is a SaaS (Software as a Service) platform for Business Continuity Management (BCMS). The Service includes, but is not limited to:
- Business Impact Analysis (BIA): identification and assessment of your organization's critical processes.
- Continuity Plans (BCP/DRP/IRP/ERP): creation, management, and maintenance of business continuity plans, disaster recovery plans, incident response plans, and emergency response plans.
- Risk Management: risk assessment and treatment according to ISO 31000, ISO 27005, EBIOS RM, and FAIR standards.
- CMDB: management of IT assets, applications, servers, and contracts.
- Artificial Intelligence (AI) Features: AI assistant for plan generation, risk analysis, crisis copilot, and automated recommendations, powered by third-party AI models (Anthropic Claude).
- Simulations and Exercises: Monte Carlo simulations, gamified crisis exercises, and stress tests.
- Dashboards and Reports: real-time visualization of business continuity status.
The Company reserves the right to modify, suspend, or discontinue all or part of the Service at any time, with reasonable notice for substantial changes.
3. Account Registration & Security
To use the Service, you must create an account by providing accurate, complete, and up-to-date information. You are responsible for:
- Maintaining the confidentiality of your login credentials (email and password).
- All activities performed under your account.
- Immediately notifying the Company of any unauthorized use of your account.
- Keeping your profile information up to date.
The Service is multi-tenant: each organization has its own isolated data space. The organization administrator is responsible for managing user access within their organization.
The Company reserves the right to suspend or close any account in case of a breach of these Terms or suspicious activities.
4. Subscription Plans & Payment
The Service is offered through monthly or annual subscription plans. Current pricing is available on the Service's pricing page. The following conditions apply:
- Subscriptions are billed in advance for the chosen period (monthly or annually).
- Prices are expressed in Euros (EUR) and are exclusive of applicable taxes (VAT).
- Payment is made by credit card or SEPA direct debit through our secure payment processor.
- Subscriptions are automatically renewed unless canceled by the user before the renewal date.
- Refunds are not granted for partially used periods, except as required by applicable law.
The Company reserves the right to modify its pricing with 30 days' notice. Price changes take effect at the next renewal period.
5. Free Trial Terms
The Company may offer a 14-day free trial period to evaluate the Service. During this period:
- Full access to the Service is provided within the limits of the trial plan.
- No payment method is required to start the trial.
- Upon expiration of the trial period, access to the Service will be suspended until a paid subscription is activated.
- Data entered during the trial is retained for 30 days after expiration, then permanently deleted.
- The free trial is limited to one registration per organization.
6. Data Ownership & Usage
Your data belongs to you. The Company does not claim any ownership rights over the data you enter into the Service (continuity plans, risk analyses, asset information, etc.).
- You retain all intellectual property rights over your data.
- You grant the Company a limited, non-exclusive license to host, process, and display your data solely for the purpose of providing the Service.
- The Company will not share, sell, or disclose your data to third parties, except as required by law or as described in the Privacy Policy.
- AI features process your data to generate recommendations. This data is not used to train AI models and is not shared with AI providers beyond the processing necessary to deliver the Service.
7. Intellectual Property
The Service, including its source code, interface, algorithms, documentation, and trademarks, is the exclusive property of the Company and is protected by intellectual property laws.
- Your subscription grants you a non-exclusive, non-transferable, and revocable right to use the Service for the duration of your subscription.
- It is prohibited to copy, modify, distribute, decompile, or reverse engineer any part of the Service.
- Plans, reports, and documents generated using the Service (including via AI features) belong to the user.
8. Acceptable Use Policy
By using the Service, you agree not to:
- Use the Service for illegal or unauthorized purposes.
- Attempt to gain unauthorized access to systems, networks, or data of other users.
- Introduce viruses, malware, or any harmful code.
- Intentionally overload the Service's infrastructure (DoS attacks, mass scraping).
- Share your login credentials with unauthorized third parties.
- Use the Service to store sensitive data unrelated to business continuity (personal health data, consumer banking data, etc.).
- Circumvent technical limits or restrictions of your subscription plan.
Any violation of this policy may result in immediate suspension or termination of the account, without prejudice to any damages that may be claimed.
9. Service Availability & SLA
The Company strives to maintain 99.5% Service availability on a monthly basis, excluding scheduled maintenance. The following conditions apply:
- Scheduled maintenance is announced at least 48 hours in advance and is planned outside business hours (CET/CEST).
- In case of downtime exceeding the availability commitment, a prorated credit may be granted upon request for Business and Enterprise plans.
- The Service is provided “as is.” The Company does not guarantee that the Service will be free from bugs, interruptions, or errors.
- Data backups are performed daily and retained for 30 days.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Company's total liability under these Terms shall not exceed the total subscription fees paid by the user during the 12 months preceding the event giving rise to the claim.
- The Company shall not be liable for indirect, consequential, special, or punitive damages, including loss of profits, data, business opportunities, or reputation.
- The Company does not guarantee that recommendations generated by AI features are exhaustive or infallible. The user remains solely responsible for decisions made based on these recommendations.
- The Company is not liable for damages resulting from force majeure events, including natural disasters, third-party network failures, or government actions.
11. Termination
By the user: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
By the Company: The Company reserves the right to suspend or terminate your account in case of:
- Breach of these Terms or the Acceptable Use Policy.
- Non-payment of subscription fees.
- Prolonged inactivity (more than 12 months).
- Request from a competent authority.
In case of termination due to user fault, no refund will be granted for the remaining subscription period.
12. Data Export on Termination
Upon termination of your subscription:
- You have 30 days from the termination date to export your data in JSON or PDF format using the built-in export tools of the Service.
- After this 30-day period, your data will be permanently deleted from our systems and backups, in accordance with our data retention policy.
- Upon written request, the Company may provide assistance for data export in a specific format (billed separately).
13. Modifications to Terms
The Company reserves the right to modify these Terms at any time. Modifications take effect upon publication on the Service. For substantial modifications:
- 30 days' notice will be given via email and in-app notification.
- If you do not accept the modifications, you may cancel your subscription before they take effect.
- Continued use of the Service after modifications take effect constitutes acceptance of the modifications.
14. Governing Law
These Terms are governed by French law. Any dispute relating to the interpretation, performance, or termination of these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France, subject to mandatory consumer protection provisions.
In the event of a dispute, the parties agree to seek an amicable resolution before initiating legal proceedings. In accordance with European Regulation No. 524/2013, consumers residing in the European Union may also use the European Commission's Online Dispute Resolution platform available at: https://ec.europa.eu/consumers/odr.
